Terms of Service

Last updated: 15 September 2026

Before publishing: the bracketed items must be completed, and this document reviewed by a qualified lawyer. Limitation of liability, warranty disclaimers and the governing-law clause are the provisions most often struck down when they are copied from a template, and they are the ones you are relying on. This is not legal advice.

These terms govern your use of the Nexa Sentry platform and website (“the Service”), operated by Nexa Sentry Inc. By creating an account or using the Service, you agree to them. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it.

1. The Service

Nexa Sentry collects telemetry and security posture from machines you control, raises alerts against rules you configure, and provides tooling to investigate and respond. What is available to you depends on your plan.

2. Your account

3. What you may monitor — read this one

You may install agents only on machines you own or are authorised in writing to monitor. The Service reports running processes, network sockets, login failures and other activity that can identify what individuals are doing. You are solely responsible for:

Workplace monitoring is specifically regulated in many countries, and in some it requires consultation with a works council or equivalent body. We provide a tool; the legality of how you point it is yours.

4. Acceptable use

You must not use the Service to:

5. Remote command execution and the SSH gateway

The Service can open SSH sessions and run administrator-approved commands on your machines. Anything executed through these features is executed by you. Review every command before approving it — including any drafted by the AI assistant, which can be wrong.

6. AI features

The AI assistant and the in-terminal helper send your input, and a snapshot of fleet data in scope for your account, to a third-party model provider. Their output is a suggestion, not advice, and may be inaccurate. Do not enter secrets. You remain responsible for acting on anything they produce.

7. Fees

Paid plans are billed in advance for the period shown at checkout and renew automatically unless cancelled before the renewal date. Fees exclude taxes unless stated. We may change pricing on [insert notice period] notice, effective from your next renewal. Refunds are governed by the Refund Policy.

8. Your data

You keep all rights in the data you and your machines send us. You grant us only the licence needed to operate the Service for you. Our handling of personal data is described in the Privacy Policy. On termination you may ask us to export or delete your data.

9. Availability

We aim to keep the Service available and will give reasonable notice of planned maintenance where we can. Unless you hold a separate written service level agreement with us, the Service is provided without any guaranteed uptime figure.

10. Warranties

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we exclude all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will detect every security issue, vulnerability, intrusion or outage. It is one control among many and is not a substitute for your own security programme.

11. Liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the [insert period, commonly twelve months] before the event giving rise to the claim.

Nothing here excludes liability that cannot lawfully be excluded — including death or personal injury caused by negligence, and fraud. Some jurisdictions do not allow certain exclusions, in which case the narrowest permitted exclusion applies and your statutory consumer rights are unaffected.

12. Termination

You may stop using the Service and close your account at any time. Either party may terminate for material breach that is not remedied within 30 days of written notice. On termination, your right to use the Service ends; clauses that by their nature should survive, do.

13. Governing law

[Insert governing law and the courts that have exclusive jurisdiction. This should match where the contracting entity is actually established, and should account for mandatory consumer protections in the countries you sell into.]

14. Changes

We may update these terms. Material changes will be notified to account holders by email and take effect on the date stated; continuing to use the Service after that date means you accept them.
